Review a data room in an hour

A short plan for your first session in the portal, from the invitation email to your first question to the deal team.

Most reviewers need the same first hour: get in, understand what has been shared, read the documents that matter most, and send the questions that block the rest. This plan follows that order and links to the guide for each step.

Phases

1. Get in (10 minutes)

Open the invitation email, sign in with the temporary password, set your own password and accept the non-disclosure agreement if one is shown. Bookmark the portal link. Get started from your invitation has the details and the fixes when the password or link does not work.

2. Map what was shared (10 minutes)

Expand the Folders tree and read the folder names and index numbers before opening anything; the deal team's structure tells you what they consider complete. A folder you expected and cannot see has not been shared with your group; note it for your first question rather than searching for it.

3. Read what matters most (30 minutes)

Open documents in the viewer; nothing needs downloading to be read. Use Search this data room… for names, amounts and dates across every document, and Search in document inside a long one. Where the deal team allows downloads, a download icon appears on the row, and you can tick several documents or folders and use Download selected to get them as one ZIP; downloaded PDFs may carry a watermark and ask for a password the deal team gives you separately. 4. Ask the blocking questions (10 minutes)

Raise each question from the document it concerns with Ask about this file, or from Q&A for general ones. Switch on the Answer published notification so you are emailed when the deal team replies. Questions are private to your group. Ask the deal team a question walks through it.

Availability and limitations

  • The deal team sees your visits, the documents you open, your searches and downloads; see What the deal team can see of your activity.
  • The portal signs you out after a period of inactivity set by the deal team. Your place is kept; sign in again.
